Terms of Use

By accessing, registering, or using the services, applications, and platforms operated by GIO Brain Tecnologia LTDA ("GIO", "we", "our", or "company"), the user ("you" or "client") declares that they have read, understood, and fully agree to these Terms of Use, as well as the Privacy Policy available at https://giobrain.com/politica-de-privacidade.

If you do not agree with any part of these terms, you should not use GIO's services.

• Platform: set of systems, panels, APIs, and applications under the GIO Brain domain.
• Services: all functionalities offered by GIO, including data analysis, campaign automation, reports, recommendations, and integrations with advertising platforms.
• User: individual or legal entity that creates an account or uses any GIO service.
• Agency: user account with permission to manage multiple client accounts.
• Data: information collected, processed, or stored by the platform.
• GIO AI: artificial intelligence system and neural networks used for campaign optimization and automation.

GIO is an artificial intelligence platform applied to digital marketing that performs:

• Collection and analysis of advertising campaign data;
• Automation of actions and strategic recommendations;
• Integrations with third-party APIs (Google Ads, Meta Ads, etc.);
• Generation of performance reports and diagnostics;
• Interface personalization and suggestions based on machine learning.

GIO acts as a support and automation tool, not replacing human decision-making nor guaranteeing specific results.

GIO, through its intelligent systems and authorized connectors, may execute automated actions on campaigns and advertising accounts without prior notice, including but not limited to:

• Budget and bid adjustments;
• Pausing or activating campaigns and ad groups;
• Adding or removing keywords;
• Creating ads or A/B tests;
• Applying predictive recommendations;
• Changes to bid strategy or daily budget.

These actions occur based on the permissions granted by the user at the time of ad account integration.

The user acknowledges and expressly agrees that:

1. GIO may act autonomously, without prior communication, for the purpose of campaign optimization and maintenance;
2. The user is fully responsible for periodically reviewing executed actions, active campaigns, and generated results;
3. It is the user's duty to frequently monitor automatic changes made by the platform;
4. GIO is not responsible for any financial loss, performance degradation, or strategic error resulting from automatic actions, regardless of prior or subsequent notice.

The user agrees to:

1. Provide truthful and up-to-date information;
2. Maintain the confidentiality of their credentials;
3. Regularly review actions performed by GIO;
4. Ensure they have authorization to link advertising accounts;
5. Comply with applicable laws, especially the LGPD, the Brazilian Internet Civil Framework, and advertising regulations;
6. Periodically check campaign actions and results, assuming full responsibility for their consequences.

The use of GIO to broadcast, promote, host, or support campaigns, ads, or products that:

1. Violate laws, regulations, or current norms in Brazil;
2. Involve the sale, promotion, or distribution of:
   • Illicit drugs or controlled substances;
   • Products related to firearms, ammunition, explosives, or similar;
   • Explicit sexual content, pornography, or erotic services;
   • Gambling, illegal betting, or fraudulent financial schemes;
   • Counterfeit or smuggled products;
   • Any material that promotes violence, discrimination, hate speech, or illegal activities.

is strictly prohibited.

Any individual user who violates this clause will have their account terminated immediately and without prior notice, with no right to a refund.

In the case of an agency or manager of multiple accounts, if the dissemination, even indirect, of any type of prohibited content by one of the accounts under their management is identified, all accounts linked to that agency will be suspended or permanently terminated, without prior notice and without the possibility of reactivation or data recovery.

GIO reserves the right to refuse service, block access, and delete data related to campaigns that show any indication of irregularity or violation of national legislation.

GIO Brain is not responsible, under any circumstances, for:

1. Results, profits, losses, or financial damages arising from the use of services;
2. Automatic actions executed by the AI;
3. Failures, omissions, or errors in analyses and forecasts;
4. Temporary unavailability of the platform;
5. Acts of third parties, such as invasions, attacks, or external failures;
6. Improper or illegal use of services by the user;
7. Blocks or suspensions of accounts by external platforms (Google, Meta, etc.) due to user practices.

GIO does not guarantee any financial return, conversion rate, profit, or performance improvement.

GIO's AI uses neural networks to predict results and execute actions based on historical data.

These decisions are automated and subject to statistical errors.

The user acknowledges that:

• GIO acts as an automated assistant;
• The AI may perform actions without prior notification;
• It is entirely the user's responsibility to periodically monitor campaigns and changes;
• The AI does not replace human analysis.

The user grants GIO an irrevocable license to process and use data in anonymized and aggregated form for the purpose of:

• Training neural networks and predictive models;
• Generating statistical and trend reports;
• Improving system efficiency.

All rights to the software, design, source code, logo, database, and algorithms belong to GIO Brain Tecnologia LTDA.

Reproduction, modification, or reverse engineering is expressly prohibited.

Paid services are processed via Stripe or authorized partners.

• Non-payment results in account suspension;
• Paid amounts are non-refundable;
• Plans and prices may be changed with prior notice.

If the user wishes to cancel their plan and experiences technical difficulties, they should contact:

GIO may suspend or terminate access without prior notice if:

• there is a violation of these Terms;
• illegal, fraudulent, or immoral activities are detected;
• the user or agency broadcasts prohibited content as per item 6;
• there is a risk to the platform's security or reputation.

In case of termination due to violation, all linked accounts may be permanently blocked, with no right to refund or data recovery.

GIO is provided "as is" and "as available".

There are no guarantees of accuracy, continuity, compatibility, or commercial results.

The user agrees to indemnify and hold harmless GIO Brain Tecnologia LTDA from any claim, loss, or cost (including attorney fees) arising from:

• improper use of the platform;
• violation of these Terms;
• disclosure of illegal or prohibited content;
• automated decisions and actions performed by the AI.

GIO may change these Terms at any time.

Continued use implies automatic acceptance of the new conditions.

These Terms are governed by the laws of the Federative Republic of Brazil.

The jurisdiction of the Court of São Paulo – SP is elected, to the exclusion of any other.
